Article # 1
The name of this organization shall be “Hamilton Amateur Astronomers”.
Article #2
The purposes of said organization shall be:
to promote the enjoyment and advancement of astronomy among amateurs;
to educate the public in the science of astronomy.
Article #3
The organization shall be carried on without purpose of gain for its members, and any profits or other accretions to the organization shall be used solely to promote its objectives.
Article #4
The governing council of the organization shall consist of a minimum of the following officers:
Chair, Treasurer and Secretary~ such officers must be members of the organization. The term of office shall be one year.
Article #5
When there are more nominations than council positions, the membership shall elect the councillors by majority vote at the annual meeting. Members not in attendance at the annual meeting may vote by proxy or ballot. When a vacancy occurs on the council, council may appoint a member to fill that vacancy for the remainder of the term.
Article #6
Upon the dissolution of the organization and after the payment of all debts and liabilities,
its remaining property, if any, shall be distributed or disposed of to a successor association having objects substantially the same as the foregoing organization and, in the event that no such successor is existing and pursuing the aforesaid objects at the time of such dissolution, its remaining property shall be distributed or disposed of to charitable organizations.

This Constitution comes into force effective November 1, 1993.
